Jodie Grabarski has extensive experience in the areas of commercial lending and banking, real estate, general business and corporate law. Clients are impressed with her attention to detail and ability to make complex legal issues easier to understand.
Banking and Lending
In the banking and lending area, Jodie represents banks, credit unions, and venture capital entities in their commercial financing matters. Her practice involves structuring loan transactions, preparing documentation for the transaction, and evaluating the collateral position to repay the obligation. Such lending transactions include:
- Secured and unsecured commercial loans
- Real estate loans
- Complex corporate capitalization structures
- Asset-based lending
- Construction financing
- Subordinated debt, private equity and mezzanine financing
- Multi-unit franchise finance
She also has significant experience in large workout transactions on behalf of lenders and the restructuring of borrowers’ financial obligations, through forbearance agreements, confessions of judgment, surrender agreements, and other voluntary mechanisms. In these economic times, “he with all the gold does not necessarily rule.” When amicable resolutions between borrowers and lenders are not possible, Jodie has experience pursuing creditor’s remedies including:
- Mortgage foreclosures in Wisconsin and Minnesota
- Deeds in Lieu of foreclosure and voluntary foreclosure agreements
- Receiverships
- Executions and replevin of personal property
- Bankruptcy representation
Real Estate
In addition to lending and workout matters, Jodie has more than fifteen years of experience in dealing with dirt. Real estate issues can be tricky and Jodie has handled many complicated real estate matters including a restaurant without a kitchen. Her areas of experience include:
- Commercial real estate acquisitions and dispositions
- Sale-leaseback transactions
- Title and survey examination and resolution of adverse matters
- Commercial leasing
- Contracts for deed, land contracts, and cancellations of the same
- Easements and restrictive covenants
- Multi-unit real estate issues
Corporate and Business Law
Jodie can also assist you with business entity formation, mergers and acquisitions, through either stock or asset purchases, business contracts, and protection of intellectual property assets.

She is also a member of the Midway Chamber of Commerce and an at-large member of the Ramsey County Fair Board.
Jodie is admitted to practice law in Minnesota state and federal courts, Wisconsin and the U.S. District Court for the Western District of Wisconsin. She received her J.D. from University of Wisconsin Law School and a B.S. in Agricultural Economics from University of Wisconsin. She joined Murnane Brandt in 2010.
